Welcome to Ethos Commerce (“we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your use of our website (ethos-commerce.com), services, consultations, audits, deliverables, and any related work (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Services

We provide Amazon-related services including, but not limited to:

  • Advertising Optimization (PPC campaign management)
  • A+ Content creation, graphics, and video production
  • Account health monitoring, compliance support, and violation appeals
  • Listing audits and optimization recommendations
  • Consultations and strategic guidance

Advertising Optimization is available only via monthly retainers. All other services are charged hourly at $200 per hour, with bulk rate discounts available when booking 5+ hours. Pricing is subject to change and will be confirmed in a written proposal or invoice. Results are not guaranteed due to factors outside our control (Amazon policy changes, competition, algorithm updates, etc.).

2. Client Responsibilities

You agree to:

  • Provide accurate information, access credentials, and necessary permissions for us to perform the Services
  • Comply with all Amazon policies, terms of service, and applicable laws
  • Make timely payments as agreed
  • Not use our Services for illegal purposes or in violation of any laws

3. Payment Terms

Payments are due as specified in the proposal or invoice. We accept major credit cards, PayPal, or bank transfer. Late payments may incur a 1.5% monthly interest charge. All fees are non-refundable unless otherwise stated in writing. Bulk discounts apply only to prepaid hours of 5 or more.

4. Intellectual Property

We retain ownership of all original creative work (graphics, videos, A+ Content modules, strategies, reports) until full payment is received. Upon full payment, you are granted a non-exclusive, non-transferable license to use the deliverables solely for your Amazon listings and business purposes. You may not resell, redistribute, or claim ownership of our original work or pre-existing tools/methods.

5. Confidentiality

We agree to keep confidential any non-public information you provide (e.g., sales data, ad performance, account details) and use it solely to deliver the Services. You agree not to disclose our proprietary strategies, methods, or work product.

6. Limitation of Liability

Our Services are advisory and optimization-based. We do not guarantee specific results (e.g., sales increases, account reinstatement, rankings) due to factors beyond our control. To the maximum extent permitted by law, our liability is limited to the fees paid for the Services in the preceding 12 months. We are not liable for indirect, consequential, incidental, special, or punitive damages, or for any outcomes resulting from Amazon policy changes, algorithm updates, account actions, or third-party factors.

7. Termination

Either party may terminate monthly retainers with 30 days’ written notice. Fixed projects may be terminated for material breach with 7 days’ notice to cure. Upon termination, you remain liable for all fees due up to the termination date. No refunds for prepaid fees unless otherwise agreed in writing.

8. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes will be resolved exclusively in courts located in Manatee County, Florida.

9. Changes to Terms

We may update these Terms at any time. Continued use of our Services after changes constitutes acceptance of the updated Terms. We will post the revised Terms on this page and update the “Last updated” date.
